Terms of Service

These Terms of Service govern your use of Toolbay. By creating an account, listing a tool, or buying and downloading one, you agree to everything set out below. Please read it carefully.
Accounts and eligibility
You must be at least 18 years old, or the age of majority where you live, to use Toolbay. You agree to provide accurate account information, to keep your login credentials secure, and to be responsible for everything that happens under your account. You may not share an account, impersonate another person or business, or register on behalf of someone without their authorization.
You are responsible for keeping your account email current, since we use it to deliver receipts, license details, and important notices about your purchases and listings.
What Toolbay is
Toolbay is a marketplace. Sellers list AI tools and files, such as prompts, workflows, agents, skills, and datasets. Buyers purchase, download, and run those files in their own tools. Toolbay provides the storefront, checkout, licensing, and delivery. We are not the author of the listings sold here and we do not guarantee that any given tool will fit your specific use case.
Seller obligations and authorship warranty
When you list a tool on Toolbay, you warrant that you are the author of the work, or that you hold all rights and licenses needed to sell and distribute it. You warrant that your listing does not infringe anyone else's intellectual property, contract, or other rights, and that your description accurately reflects what the buyer will receive.
You agree to keep your listings honest and up to date, to respond to reasonable buyer questions, and to honor the license you grant. You retain ownership of your work. You grant Toolbay a limited license to host, display, market, watermark, and deliver your files to buyers as part of operating the marketplace.
Prohibited content and conduct
You may not list, upload, or distribute anything that is unlawful, malicious, or harmful. This includes malware or code designed to damage or gain unauthorized access to systems, stolen or pirated material, content that infringes intellectual property, content that violates privacy or data-protection law, and material that is fraudulent, deceptive, or designed to facilitate abuse. We may remove any listing and suspend any account that breaks these rules.
To keep everyone safe, the following conduct is specifically prohibited anywhere on Toolbay, including in messages. Breaking any of these can void payment protection on a deal and get an account suspended:
- No off-platform payment. Do not ask anyone to pay, or pay anyone, outside Toolbay (Venmo, PayPal, Cash App, Zelle, wire, crypto, gift cards, or moving the deal to another app). It voids protection and is bannable.
- No fake deliverables. Do not deliver empty, placeholder, mismatched, or non-functional work to trigger a release, or misrepresent what was delivered.
- No impersonation. Do not pretend to be another person, business, or Toolbay itself.
- No reselling others' work. Do not list, sell, or deliver work you did not create or do not have the rights to.
- No requesting secrets or credentials. Do not ask for passwords, API keys, one-time codes, seed phrases, or other secrets, and never share your own.
If you see any of this, use the Report control on the profile, listing, request, service, or message. Reports go to the Toolbay team for review.

Licensing, watermarking, and traceability
Every download on Toolbay is licensed and traceable. When a buyer downloads a file, we attach a per-buyer watermark that ties that copy to their account. Downloads are not anonymous: if a purchased file is leaked or redistributed, the watermark lets us trace the copy back to the buyer it was issued to.
Buyers receive a personal license to use what they download. Reselling, sharing, or redistributing a purchased file is not permitted unless the seller's license expressly allows it. Misuse of a download, including removing or tampering with a watermark, is a breach of these Terms and may result in license revocation and account termination.
Pricing, fees, and payouts
Sellers set their own prices. Toolbay charges a platform fee of 30 percent on each sale, and sellers keep the remaining 70 percent. The platform fee covers hosting, delivery, payment processing, licensing, watermarking, and marketplace operations. Payments are processed by our payment provider, and payouts are made to sellers according to the schedule and methods described at the time of sale.
Buyer license grant
When you buy a tool on Toolbay, you receive a non-exclusive, non-transferable license to use the downloaded file for your own purposes, subject to the specific license terms shown on the listing. Unless the listing says otherwise, you may not resell, sublicense, or publicly redistribute the file. Your license is tied to your account and to the watermarked copy issued to you.
All sales are final
Purchases on Toolbay are final. The moment you buy, we issue a licensed, watermarked copy of the file that is traceable to your account, so a download cannot be returned or un-sent. For this reason we do not offer refunds, money-back guarantees, or cancellations once a purchase completes.
Before you buy, you can review the listing's description and a labeled sample of the output, and you can message the seller with questions. If a tool does not work as described after purchase, contact the seller or Toolbay and we will help work toward a fix. See our Sales are Final policy for details.

Payment protection for commissioned work
Separate from instant downloads, Toolbay also hosts commissions: a client posts a request, a builder quotes it, and the client funds an agreed build. These commission terms apply to that flow only. The all-sales-final terms above do not apply to a commission, which has its own payment-protection and dispute path set out below.
How a commission works
A client posts a request describing what they want built. A buildersends a formal quote (a price, a delivery time, and a scope). When the client accepts and funds a quote, or buys a builder's fixed-price service tier, a deal is created. A deal moves through clear states:
- Funded — the client has paid and Toolbay is holding the full amount.
- Delivered — the builder has submitted the work and marked it delivered.
- Approved & released — the client approves the delivery, which releases the builder's share of the held funds to them.
- Cancelled — the deal ended before release (see the dispute and resolution section).
Payment protection — funds held until you approve
When a client funds a commission, Toolbay collects and holds the full payment. Toolbay does not pay the builder at funding time. The builder's share is only released after the client approves the delivery. This is a payment-protection hold operated by Toolbay; it is not a bank deposit, an escrow account, or an insured instrument, and Toolbay is not acting as an escrow agent, bank, or fiduciary.
Holding the money until approval is what protects both sides: the client does not pay for nothing, and the builder is building against a payment that is already secured on the platform. This protection only exists while the payment and the work both stay on Toolbay.
Delivery, approval, and inactivity
After the builder marks the work delivered, the client reviews it and either approves it (which releases the builder's share) or raises a problem through the dispute path below. Clients are expected to review a delivery promptly and not withhold approval of work that meets the agreed scope. Builders are expected to deliver the agreed scope within the quoted time.
If a client neither approves a delivery nor raises a dispute within a reasonable time after delivery, Toolbay may, after reaching out, review the deal and release the builder's share for work that plainly meets the agreed scope. We will not release funds while a good-faith dispute is open.
Disputes and resolution
If a delivery does not match the agreed scope, or work is not delivered, the client should raise it through Toolbay (in the deal's messages and by reporting the deal) rather than approving. While a dispute is open, the held funds stay held; nothing is released to the builder.
Toolbay will review the request, the quote, the agreed scope, the delivery, and the conversation between the parties, and will decide how the held funds are handled. Toolbay acts as the final decision-maker on the release of held commission funds. Possible outcomes include:
- releasing the funds to the builder where the delivered work meets the agreed scope;
- returning the held funds to the client where the work was not delivered or clearly does not meet the agreed scope; or
- a partial resolution where that is the fair outcome for what was delivered.
Toolbay's role is to administer the held funds fairly based on the agreed scope. Toolbay is not a party to the work itself and does not guarantee a builder's performance or a client's satisfaction beyond administering the held funds under these terms.
Ownership of the delivered work
Until the client approves the delivery and the payment is released, the builder retains ownership of the delivered work. On release, ownership of the delivered deliverables transfers to the client, who receives full rights to use the delivered work for the purpose it was commissioned, unless the builder and client agree different terms in writing on the deal.
A builder may retain their own pre-existing tools, libraries, boilerplate, and general know-how used to produce the work, and any third-party or open-source components keep their own licenses. A builder warrants they have the right to deliver the work and to transfer it, and that it does not infringe anyone else's rights. If a deal is cancelled and the funds are returned to the client, no ownership transfers.
Commission fees
Toolbay charges the same platform fee on a commission as on a sale: the standard fee is 30 percent, so the builder keeps 70 percent of the deal. Builders on Toolbay Premium are charged a reduced 20 percent fee and keep 80 percent. The fee is taken from the held amount when the builder's share is released; the client pays the quoted price.
Off-platform payment voids protection
Payment protection only works when the payment and the deal stay on Toolbay. Do not pay, or accept payment, off the platform — by Venmo, PayPal, Cash App, Zelle, wire, crypto, gift card, or any other method outside Toolbay checkout. Do not agree to move a deal to another app to avoid fees.
If you pay or take payment off Toolbay, there is no held payment, no protection, and no dispute path, and Toolbay cannot recover your money. Soliciting off-platform payment is prohibited conduct, may void any protection on the deal, and can result in removal of listings and suspension of the account.
Disclaimers
Toolbay and everything available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any listing will meet your requirements, produce a particular result, or operate without interruption or error. AI tools can behave unpredictably, and you are responsible for reviewing and testing anything you download before relying on it.
Limitation of liability
To the fullest extent permitted by law, Toolbay and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the marketplace. Our total liability for any claim relating to the marketplace will not exceed the greater of the amount you paid to Toolbay in the three months before the claim, or one hundred US dollars.
Account termination
You may close your account at any time. We may suspend or terminate your account, remove listings, or revoke licenses if you breach these Terms, if we are required to by law, or to protect the marketplace and its users. Because all sales are final, closing or terminating an account does not entitle you to a refund of completed purchases. Where a license is revoked for a breach, the associated download permissions end.
Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or your use of Toolbay will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, notify you. Continuing to use Toolbay after a change means you accept the updated Terms.
